Investment Funds Direct Terms and Conditions
1. Acceptance of Terms
These Terms and Conditions ("Agreement") govern the relationship between Investment Funds Direct ("Investment Funds Direct", "the Company", "we", "our", or "us") and every individual or legal entity ("Client", "you", or "your") accessing or using the Company's trading platform, website, products, or services.
By opening an account, accessing the trading platform, depositing funds, executing trades, or otherwise using any services provided by Investment Funds Direct, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement. If you do not agree with any provision contained herein, you must immediately discontinue use of the Company's services.
This Agreement constitutes the entire contractual relationship between the Client and Investment Funds Direct regarding the trading services offered by the Company. Separate documents, including the Privacy Policy, AML/KYC Policy, Risk Disclosure Statement, and any applicable Order Execution Policy, shall form independent legal documents and should be read alongside these Terms.
Trading leveraged financial products involves substantial risk and may not be suitable for every investor. The Client acknowledges that all investment decisions are made independently and that Investment Funds Direct does not provide investment advice, portfolio management, or recommendations regarding the suitability of any transaction unless expressly agreed in writing.
The Company reserves the right to modify these Terms and Conditions at any time where reasonably necessary to reflect changes in applicable laws, market conditions, operational requirements, or improvements to its services. Updated versions shall become effective upon publication on the Company's official website or client portal. Continued use of the services following publication shall constitute acceptance of the revised Terms. Clients are responsible for reviewing these Terms periodically to remain informed of any amendments.
Nothing contained within this Agreement shall create a partnership, joint venture, fiduciary relationship, employment relationship, or agency relationship between the Client and Investment Funds Direct.
The Client confirms that all information provided during account registration is complete, accurate, and truthful and agrees to promptly notify the Company of any material changes affecting such information.
The Client further acknowledges that electronic communications, including emails, notifications within the client portal, platform messages, or other digital communications issued by Investment Funds Direct, shall constitute valid and legally binding notices.
2. Spot Forex Trading
Investment Funds Direct provides access to the global foreign exchange ("Forex") market, enabling Clients to trade one currency against another through spot foreign exchange contracts.
Spot Forex transactions involve the simultaneous purchase of one currency and sale of another at the prevailing market price. Prices displayed within the trading platform are derived from external liquidity providers and may fluctuate continuously due to changes in global market conditions.
The Client acknowledges that Forex markets operate twenty-four hours per day during standard trading weeks; however, liquidity conditions may vary significantly depending upon market sessions, economic announcements, geopolitical events, central bank decisions, or extraordinary market circumstances.
Foreign exchange prices may experience rapid movements resulting in substantial gains or losses within short periods of time. The Client accepts full responsibility for monitoring open positions and maintaining sufficient account equity to satisfy applicable margin requirements.
The Company does not guarantee that orders will always be executed at the exact price requested by the Client. Market conditions may result in positive or negative slippage, partial fills, delayed execution, or rejection of orders where sufficient liquidity is unavailable.
The Client acknowledges that leverage magnifies both profits and losses. Trading using leverage may result in losses exceeding initial expectations if positions move adversely. Clients are solely responsible for understanding the risks associated with leveraged trading before opening positions.
Margin requirements are determined by Investment Funds Direct and may be amended without prior notice where market conditions, volatility, liquidity, or risk exposure materially change.
If account equity falls below required maintenance levels, the Company reserves the right to issue margin notifications or automatically close open positions without obtaining prior consent from the Client. Such liquidation shall occur at prices available under prevailing market conditions and may result in additional realized losses.
Exchange rates may be influenced by numerous factors including:
- Central bank monetary policy
- Interest rate decisions
- Inflation expectations
- Employment statistics
- Political instability
- Economic growth
- Natural disasters
- International conflicts
- Unexpected market events
The Company shall not be liable for losses arising from price movements resulting from any of the above factors.
Clients acknowledge that spreads may widen significantly during periods of reduced liquidity, market openings, market closings, weekends, holidays, major economic announcements, or extraordinary market events.
Overnight positions may incur swap or financing charges depending upon the currencies traded, prevailing interest rate differentials, and the Company's pricing methodology. Applicable financing charges shall be reflected within the trading platform.
Investment Funds Direct reserves the right to suspend trading in specific currency pairs where liquidity providers suspend pricing, where extraordinary volatility exists, or where market integrity could be compromised.
3. Contracts for Difference (CFDs)
Investment Funds Direct offers Contracts for Difference ("CFDs") across various financial instruments, allowing Clients to speculate on price movements without acquiring ownership of the underlying asset.
A CFD represents an agreement between the Client and the Company to exchange the difference between the opening price and closing price of a financial instrument.
Because CFDs do not confer ownership rights, Clients shall not obtain voting rights, shareholder privileges, dividend entitlements (except cash adjustments where applicable), or any ownership interest in the underlying asset unless expressly specified.
CFDs are leveraged products carrying a high degree of financial risk. Small market movements may produce disproportionately large gains or losses due to leverage. Clients acknowledge that leveraged trading may rapidly deplete account equity.
The Client accepts full responsibility for determining whether CFD trading is appropriate based upon personal financial objectives, experience, and risk tolerance.
Prices quoted for CFDs originate from the Company's pricing methodology, incorporating prices received from one or more external liquidity providers. Temporary pricing interruptions, widened spreads, or quotation delays may occur due to market conditions beyond the Company's reasonable control.
CFD trading may be affected by:
- Earnings announcements
- Interest rate decisions
- Corporate actions
- Political developments
- Economic releases
- Market sentiment
- Exchange disruptions
- Liquidity shortages
- Force majeure events
The Company may adjust open CFD positions to reflect corporate actions affecting the underlying instrument, including but not limited to stock splits, reverse splits, mergers, acquisitions, rights issues, dividends, spin-offs, or delistings.
Clients acknowledge that stop-loss orders, take-profit orders, trailing stops, and pending orders are intended to reduce risk but cannot guarantee execution at the requested price during volatile market conditions.
Gap risk may occur where prices move directly from one level to another without trading at intermediate prices. In such circumstances, orders may execute at the next available market price.
The Company reserves the right to increase margin requirements, reduce leverage, modify trading hours, suspend particular instruments, or close positions where necessary to manage operational, market, or liquidity risk.
CFD positions held overnight may incur financing charges or credits depending upon the direction of the position, applicable benchmark interest rates, and the Company's financing methodology.
Clients acknowledge that historical market performance does not guarantee future results and that no representation is made regarding the future profitability of any trading strategy.
Investment Funds Direct acts solely as an execution venue for Client orders unless otherwise expressly agreed. The Company does not guarantee profits, provide investment recommendations, or assume responsibility for trading decisions made by Clients.
By trading CFDs through Investment Funds Direct, the Client confirms that all transactions are entered into voluntarily, with full understanding of the associated risks, and at the Client's sole discretion.
